Terms and conditions EMVX TRIALWARE AND EMV.LIB HARDWARE ABSTRACTION LEVEL (HAL) LICENCE AGREEMENT This Licence Agreement covers the CreditCall EmvX Trialware and/or HAL provided with this Emv Licence. CreditCall Communications Ltd ("CreditCall") grants a licence to use the EmvX Trialware and/or HAL to the person licensing the software under this Agreement. By exercising any rights to the EmvX Trialware and/or HAL provided here, the licensee is agreeing to be bound by the terms of this Agreement. Grant of Licence to Use CreditCall grants to the licensee as an individual, a personal, non-exclusive object code only licence to use the EmvX Trialware and/or HAL for the sole purpose of designing, developing and testing the licensee's software and/or hardware products into which will be bound the EmvX Trialware and/or HAL ("Customer Software"). CreditCall reserves all rights not expressly granted. Copyright The EmvX Trialware and/or HAL and all copyright, design rights and any patents relating to the EmvX Trialware and/or HAL are owned by CreditCall and are protected by United Kingdom copyright laws and international treaty provisions. Any use of the EmvX Trialware and/or HAL other than as authorised under this Agreement is prohibited. EmvX Trialware and/or HAL Updates CreditCall may make available to the licensee updates to and new versions of the EmvX Trialware and/or HAL from time to time. Upon receipt of future updates of the EmvX Trialware and/or HAL the licensee may use or transfer the update only in conjunction with the then-existing EmvX Trialware and/or HAL. The EmvX Trialware or HAL and all updates are licensed as a single product and the updates may not be separated from the EmvX Trialware or HAL. Other Restrictions The licensee may not reverse-engineer, decompile, or disassemble the EmvX Trialware and/or HAL except to the extent such foregoing restriction is expressly permitted by UK statutory law. Sample Code CreditCall grants the licensee the right to use and modify the sample code supplied for the sole purpose of designing, developing and testing licensee software products, and to reproduce the sample code, along with any modifications thereof, only in object-code form, provide that the Distribution Requirements are complied with. Any use of the sample code other than as authorised under this Agreement is prohibited. Distribution Requirements The licensee is not authorised to redistribute the EmvX Trialware, the HAL or the Sample Code Warranties Except where otherwise expressly agreed in writing between CreditCall and the licensee CreditCall expressly disclaims any warranty for the EmvX Trialware and/or HAL. The EmvX Trialware and/or HAL and any related documentation is provided "as is" without warranty of any kind either express or implied, including, without limitation, the implied warranties or merchantability or fitness for a particular purpose. CreditCall further specifically disclaims all warranties with respect to intellectual property subsisting in or relating to the EmvX Trialware, the HAL and the Sample Code or any part thereof, including but not limited to any and all implied warranties of title, non-infringement or suitability for any purpose (whether or not CreditCall has been advised, has reason to know, or is otherwise in fact aware of any information. The entire risk arising out of use of performance of the EmvX Trialware and/or HAL remains with the licensee. Product Information The EmvX Trialware relating to this Agreement is a Microsoft COM Object that enables a developer to integrate Emv Level 2 (version 4.0) functionality into Windows applications using standard development tools such as Visual Basic, Visual C++ and any language that supports COM. It is supplied with a variety of drivers to support hardware required to perform an Emv transaction. The EmvX Trialware is Emv compliant but is NOT certified by EMVCo. The HAL file contains all of the operating system, or hardware specific functions required to enable EMV.LIB to interface with the Card Reader, PIN pad and online authorisation mechanism. Once the HAL file has been populated with suitable code it can be compiled with EMV.LIB to provide linkable object code that can be used on the target platform. Liability Except where otherwise expressly agreed in writing between CreditCall and the licensee, the EmvX Trialware and/or HAL are provided in standard format, and CreditCall has not been engaged to develop the EmvX Trialware and/or HAL for use with the Customer Software or Device. As a result, it is the licensee's sole responsibility to determine the suitability of the EmvX Trialware and/or HAL for any intended use or purpose and (save as may be otherwise expressly agreed in writing between CreditCall and the licensee, or as may be required by any applicable law) CreditCall shall in no event be liable for any damages costs, losses, expenses or other liabilities whatsoever, except in the case of personal injury and death, arising out of the use or inability to use the EmvX Trialware and/or HAL (including, but not limited to, damages for loss of business profits, loss of data, business interruptions, loss of business information, any other pecuniary loss, etc.), even if CreditCall have been advised, has reason to know, or is otherwise in fact aware of the possibility of such damage occurring. Termination Without prejudice to any other rights, CreditCall may cancel this Emv Licence if the licensee does not abide by the terms of this Emv Licence. On termination of this Emv Licence the licensee must destroy or render unusable all copies of the EmvX Trialware, the HAL, component parts and related documentation licensed under this document. Law This Agreement is governed according to English Law and CreditCall and the licensee agree to submit to the exclusive jurisdiction of the English Court. I agree to the terms and conditions above.
